1. Acceptance of Terms

By purchasing, downloading, or using SmartFlo Pro ("the Product"), you agree to be bound by these Terms and Conditions ("Terms"). These Terms constitute a legally binding agreement between you ("the Customer") and SmartFlo Edge ("we," "us," or "our"), a sole proprietorship registered in Ontario, Canada.

If you do not agree to these Terms, do not purchase or use the Product. Your purchase constitutes your acceptance of these Terms in full.

2. License and Intellectual Property

Upon purchase, SmartFlo Edge grants you a personal, non-exclusive, non-transferable licence to use SmartFlo Pro for your own business operations. This licence covers one business entity per purchase.

SmartFlo Pro — including all automation scripts, formulas, layouts, dashboard designs and associated materials — remains the intellectual property of SmartFlo Edge. You may not:

The data you enter into your copy of SmartFlo Pro remains your own. SmartFlo Edge makes no claim over your business data.

3. Multi-User Access

Each licence is intended for use by one business entity. You may share access to your copy of SmartFlo Pro with team members within the same business. You may not share access with individuals outside your business or use one licence across multiple separate business entities.

Full multi-user and team access features are planned for a future version of SmartFlo Pro.

4. Disclaimer — No Financial or Legal Advice

SmartFlo Pro is a productivity and financial organisation tool. It is not a substitute for professional financial, accounting, tax or legal advice.

5. Limitation of Liability

To the maximum extent permitted by applicable law, SmartFlo Edge shall not be liable for any indirect, incidental, special, consequential or punitive damages arising from your use of or inability to use the Product.

Our total liability to you for any claim arising out of or relating to these Terms or the Product shall not exceed the amount you paid for the Product (the purchase price at the time of sale).

This limitation applies regardless of whether the claim is based in contract, tort, statute or any other legal theory, and whether or not SmartFlo Edge has been advised of the possibility of such damages.

6. Refund Policy

SmartFlo Pro is a digital product delivered instantly upon purchase and cannot be returned. We do not offer refunds.

If you experience a technical issue that cannot be resolved after engaging with our support process — please contact us at support@thesmartflo.com within 14 days of purchase and we will review your request on a goodwill basis. We want every SmartFlo Pro customer to have a positive experience.

Note: Our payment processor, as Merchant of Record, may have their own buyer protection policies. Payment disputes processed through our payment processor are subject to their terms of service.

7. Third-Party Platform Dependency

SmartFlo Pro is built to function on and with the following third-party platforms. We are not affiliated with, endorsed by or sponsored by any of these providers.

SmartFlo Edge is not liable for any service interruptions, data handling practices or policy changes by any of the above third-party providers.

8. Account and File Security

You are responsible for maintaining the security of your Google account and your copy of SmartFlo Pro. SmartFlo Edge is not responsible for any unauthorised access to your file or data resulting from your failure to maintain account security.

We recommend keeping your copy of SmartFlo Pro in your personal Google Drive with access restricted to trusted individuals only. Do not share your Google account credentials with others.

9. Scope of Support

Support is available via ticket through your SmartFlo Pro Hub. Support covers:

Response time is typically within one to two business days.

10. Updates and Upgrades

SmartFlo Pro receives free minor bug fixes throughout its version lifetime. These are delivered as updated versions of the file distributed via your SmartFlo Pro Hub.

Significant new features and functionality are released as annual update packs. These are optional paid upgrades offered at a discounted rate to existing customers. Purchase of an update pack is entirely at your discretion — the original version you purchased will continue to function as described regardless of whether you upgrade.

SmartFlo Edge reserves the right to modify, update or discontinue any aspect of the Product with reasonable notice to existing customers.

11. User Feedback

Any feedback, suggestions or ideas you submit to SmartFlo Edge regarding the Product may be used by us without restriction or compensation. Submitting feedback does not grant you any rights over features developed as a result of that feedback.

12. Dispute Resolution

In the event of any dispute arising from these Terms, both parties agree to first attempt resolution through good faith negotiation via email at support@thesmartflo.com before pursuing any formal legal remedy. We are committed to resolving issues fairly and promptly.

13. Force Majeure

SmartFlo Edge shall not be liable for any failure or delay in performance of our obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control — including but not limited to Google platform outages, internet infrastructure disruptions, third-party service failures, natural disasters, governmental actions or any other cause outside our direct control.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, or removed if modification is not possible. The remaining provisions of these Terms shall continue in full force and effect.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes not resolved through the process described above shall be subject to the exclusive jurisdiction of the courts of Ontario, Canada.

16. Prohibited Uses

You may access and use the Services for lawful purposes only. You may not use SmartFlo Pro or thesmartflo.com, directly or indirectly:

We reserve the right to suspend or terminate access for any user who violates these conditions, without notice and without refund.

17. Errors, Inaccuracies and Omissions

Occasionally there may be information on the website or in the product that contains typographical errors, inaccuracies, or omissions relating to product descriptions, pricing, promotions, or availability. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update information at any time without prior notice. This includes after you have submitted a purchase.

We do not warrant that product descriptions or other content on the website is accurate, complete, current, or error-free.

18. Feedback and Testimonials

If you submit any feedback, reviews, testimonials, suggestions, or other content to SmartFlo Edge — whether by email, support ticket, social media, or any other channel — you grant SmartFlo Edge a perpetual, worldwide, royalty-free licence to use, reproduce, publish, and display that content in any medium for any purpose, including promotional and commercial use.

You represent that you own or have the right to submit such content and that it is accurate and not misleading. We are under no obligation to use, respond to, or compensate you for any feedback submitted.

19. Waiver and Entire Agreement

Our failure to exercise or enforce any right or provision of these Terms at any time does not constitute a waiver of that right or provision. Any waiver must be made in writing to be effective.

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and SmartFlo Edge with respect to your use of SmartFlo Pro and supersede all prior agreements, communications, and understandings — whether oral or written.

20. Assignment

You may not transfer, assign, or delegate these Terms or any of your rights or obligations under them to any other person or entity without our prior written consent. Any attempted transfer without consent will be null and void.

SmartFlo Edge may freely transfer, assign, or delegate these Terms and its rights and obligations without notice to you, including in connection with a merger, acquisition, or sale of assets.

21. Indemnification

You agree to indemnify, defend, and hold harmless SmartFlo Pro Edge and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses — including reasonable legal fees — arising out of or related to:
